Information about Skanska’s Annual General Meeting on March 26, 2020 with regards to the coronavirus

Skanska will hold its Annual General Meeting in Stockholm as planned. With regards to the uncertainty about the spread of infection due to the coronavirus, a decision has been taken to implement a number of precautionary measures.

In conjunction with this year’s Annual General Meeting, Skanska will make certain adjustments to arrangements to reduce the risk of spreading the infection. Registration will begin at 9:30 am CET and not at 9:00 am CET as stated in the notice to attend the meeting. We have decided to hold the Annual General Meeting in the simplest possible form. No food will be served before the meeting. Furthermore, speeches by the Chairman of the Board of Directors, Hans Biörck, and President and CEO, Anders Danielsson, will be confined to two minutes each. Longer versions of these speeches will be published and made available on Skanska’s website, www.group.skanska.com, after the meeting. Questions from shareholders at the meeting will therefore be focused on matters on the agenda of the meeting. Shareholders with more general questions about the company are welcome to provide these in writing to arsstamman@skanska.se.

Other than the Chairman of the Board of Directors and the President and CEO, a limited number of board members and members of the Group Leadership Team will attend the Annual General Meeting.

If you have notified Skanska of your intention to attend Skanska’s Annual General Meeting and have been in a risk area in the past 14 days before the date of the meeting, or if you have been in close contact with a person infected with the new coronavirus, Skanska encourage that you refrain from attending. This is to avoid the further spread of the infection. Our guidelines are based on the Public Health Agency of Sweden’s list of identified risk areas: the whole of mainland China including Hong Kong (but not Macau), South Korea, Iran, all of Italy and Tyrol in Austria.

We wish to remind you of the option not to attend Skanska’s Annual General Meeting in person but instead to participate through a proxy.

Skanska has received information that Euroclear Sweden is offering to provide proxy agents to represent shareholders who do not wish to attend the meeting in person. Euroclear Sweden is not acting on Skanska’s behalf and is not providing services to Skanska in this regard.

We hope shareholders understand that Skanska is limiting the Annual General Meeting as outlined above given the current special circumstances as a result of the coronavirus.

Skanska is closely monitoring developments on the coronavirus and will, when necessary, update the above precautionary measures prior to the Annual General Meeting. We encourage that all those who intend to participate at the meeting stay updated via www.group.skanska.com, on potential further measures.
